      公司前身爲濟南鋼鐵股份有限公司(以下簡稱“濟南鋼鐵”)。濟南鋼鐵經山東省人民政府批准,由濟鋼集團有限公司(原濟南鋼鐵集團總公司)、萊蕪鋼鐵集團有限公司、山東黃金集團有限公司、山東省耐火原材料公司、山東金嶺鐵礦五方作爲發起人,以發起方式設立。濟南鋼鐵于2000年12月29日在山東省工商行政管理局注冊登記,取得營業執照。

      2015年12月28日山東省工商行政管理局核發公司的統一社會信用代碼:91370000726230489L

      經中國證券監督管理委員會批准,濟南鋼鐵于2004年6月14日首次向社會公衆發行人民幣普通股22000萬股,于2004年6月29日在上海證券交易所上市,股票代碼600022。

      2011年12月30日,经中国证券监督管理委员会批准,济南钢铁换股吸收合并莱芜钢铁股份有限公司新发行股份2222678152股,于2012年3月8日在上海证券交易所上市;换股吸收合并完成后,济南钢铁作为存续公司,成为山东钢铁集团下属的钢铁主业上市公司,同时更名为山东钢铁股份有限公司,并向济钢集团有限公司购买资产新发行股份405014360股,向萊蕪鋼鐵集團有限公司购买资产新发行股份688123285股,新增发股票于2012年3月19日在上海证券交易所上市。2015年8月6日公司非公开增发1984126984股,并于2015年8月12日上市,增发后公司总股本为8420422781股。2017年6月公司以资本金向全体股东每10股转增3股,本次分配后总股本为10946549616股。经2022年第一次临时股东大会批准,将回购股份247700062 股依法注销后,公司总股本变更为10698849554股。

      三、公司經營範圍和産品

      公司經營範圍:鋼鐵冶煉、加工及技術咨詢服務,鋼材、大鍛件、焦炭及煉焦化産品、水渣和煉鋼副産品的生産及銷售,鐵礦石及類似礦石銷售,自營進出口業務,專用鐵路運輸;許可證批准範圍內的危險化學品生産、銷售(禁止儲存),煤氣供應,發電,供熱,供水。

      公司擁有濟南鋼城和日照沿海兩大鋼鐵生産基地,粗鋼産能約1580萬噸(含托管企業共約2100萬噸),擁有中厚板、冷熱軋、型鋼、特鋼、建材五大系列産品,涵蓋高端裝備、海洋工程、軌道交通、白色家電、石化裝備、工程機械、汽車制造等重點領域,是全國著名的中厚板材、齒輪鋼和H型鋼生産基地。擁有從原料、焦化、燒結、球團、煉鐵、煉鋼到軋鋼完整的生産工藝系統,其中5100立方米高爐、3800立方米高爐、210噸轉爐生産系統、2050毫米熱連軋生産線、2030毫米冷連軋生産線、大型特鋼棒材生産線、H型鋼生産線等工藝裝備已達到國內領先水平。
